Terms of service

1. Who we are

Syntroza PA (“the Service”) is operated by Sparkle Online Solutions(“we”, “us”). By creating an account you agree to these terms. If you do not agree, do not use the Service.

2. Your account

You must provide an accurate email address and keep your password secure. You are responsible for activity under your account. Tell us promptly at [email protected] if you believe your account has been accessed without your permission.

You must be at least 18 years old, or the age of majority where you live, to hold an account.

3. Subscriptions and billing

Subscriptions are billed per workspace, monthly in advance. Current prices are $7 per month for the Standard plan and $25 per month for the Pro plan.

Prices are displayed in US dollars, but every charge is made in Kenyan Shillings — KES 903 per month for Standard and KES 3,225 per month for Pro. The USD figure is shown for comparison only and is not the amount debited. If your payment method is denominated in another currency, your bank or card issuer performs the conversion at their own rate and may add a fee.

Payments are processed by Paystack, by card or M-Pesa. We do not receive or store your full card details. By subscribing you authorise recurring monthly charges until you cancel.

New workspaces receive a free trial. No payment card is required to begin a trial, and a trial does not convert into a paid subscription unless you actively choose a plan.

We may change prices with at least 30 days’ notice by email. A price change never applies to a billing period you have already paid for.

4. Feature availability

We describe on our pricing page which capabilities are available today and which are in development. Features described as forthcoming — including the AI reasoning layer associated with the Pro plan — are not guaranteed to ship on any particular date. Your subscription entitles you to the Service as it exists at the time you are billed, plus any capability released to your plan during your subscription.

If a forthcoming capability is material to your decision to subscribe, start on the Standard plan instead and upgrade once it has shipped.

5. Cancellation

You may cancel at any time from Settings. Cancellation stops future charges. You keep access until the end of the billing period you have already paid for. We do not pro-rate partial months.

We may suspend or terminate an account that breaches these terms, that is used unlawfully, or for which payment has failed repeatedly. Where the reason is non-payment we will attempt to contact you first.

6. Your data

You own the content you put into Syntroza PA. You grant us only the licence needed to host, back up, transmit and display it so that we can operate the Service for you. We do not sell your data and we do not use it to train machine-learning models.

You may export your data at any time through the API. On cancellation we retain your workspace so you can export it or resubscribe; contact us if you want it permanently deleted.

7. Acceptable use

You agree not to use the Service to:

• break any law that applies to you
• store or distribute malicious code
• attempt to access another customer’s workspace or data
• probe, scan or load-test our infrastructure without written permission
• resell or white-label the Service without a written agreement

8. Availability

We work to keep the Service available but do not promise uninterrupted operation. We may take it down for maintenance, and will give notice where that is practical. We are not liable for downtime caused by events outside our reasonable control.

9. Liability

The Service is provided “as is”. To the extent the law allows, our total liability to you for any claim is limited to the amount you paid us in the twelve months before the claim arose. We are not liable for indirect or consequential loss, including lost profits or lost data, except where that limitation is not permitted by law.

Syntroza PA is a record-keeping tool. It is not accounting, tax, legal or financial advice, and you remain responsible for your own compliance obligations.

10. Changes to these terms

We may update these terms. Where a change materially affects your rights we will email you at least 30 days beforehand. Continuing to use the Service after a change takes effect means you accept the updated terms.

11. Governing law

These terms are governed by the laws of the Republic of Kenya, and the courts of Kenya have exclusive jurisdiction, without affecting any consumer rights you have under the law of the country you live in.
